•Scott E. Moresco is a Managing Director with Alvarez & Marsal Tax in Nashville. He has extensive experience advising clients on tax issues associated with troubled company restructurings, both in and out of bankruptcy. Mr. Moresco also has significant experience in corporate merger and acquisitions transactions.  

•With more than 38 years of tax experience, Mr. Moresco has advised numerous companies on the tax considerations associated with the bankruptcy process. This advice includes tax considerations of first day motions, case administration, 363 sales, contract rejections, debt restructuring and emergence planning. He also has extensive experience in tax matters related to bankruptcy reorganizations, worthless loss planning, consolidated return loss limitations, tax modeling, tax attribute change of control provisions and tax attribute preservation.   

•Mr. Moresco has worked with clients in various industries, including regulated utilities, independent power producers, health care services, airline, retail, automotive, automotive supplier and technology.  

•Mr. Moresco brings significant corporate M&A experience advising multinational corporations regarding the tax aspects of cross-border merger and acquisition transactions and tax minimization structures. He has more than 25 years of experience advising U.S. and foreign corporations in tax due diligence, tax structuring, IP planning, cross-border financing, corporate acquisitions and dispositions, carve out transactions, tax-free spinoffs, corporate distributions, liquidations, tax-free reorganizations, corporate ventures, and other restructurings.  

•Prior to joining A&M, Mr. Moresco spent 25 years as a partner with KPMG’s Mergers & Acquisitions tax practice in Chicago, where he founded the Midwest M&A Tax group, served as the Midwest M&A Tax Major Market Leader, the West Region M&A Tax Service Line Leader and lead the Firms Cross-Border initiative. He was also a member of KPMG’s Global Restructuring Network.  

•Mr. Moresco earned a bachelor’s degree in accounting from St. John’s University and a master’s degree in taxation from Pace University. He holds a Certified Public Accounting (CPA) license in Illinois and is a member of the American Institute of Certified Public Accountants (AICPA). Mr. Moresco is on the board of Project Lyme and Nashville Wine Auction.
